These Affiliate Program Terms (“Terms”) govern your participation in the Affiliate Program for the purpose of receiving a commission for linking creators’ YouTube channels to SubSub.

Please read these Terms carefully before accepting them. By joining the Affiliate Program, you accept these Terms as well as other terms and policies incorporated herein by reference. Unless you agree to be bound by these Terms, you may not participate in the Affiliate Program.

SubSub may change these Terms from time to time, provided that such changes will be effective no earlier than 10 (ten) days after the date the revised Terms are posted on this page or otherwise notified to you, including by email. Your continued provision of the Company's services after such changes will constitute your acceptance of the amended Terms.

Any translation from English version is provided for your convenience only. In the event of any difference in meaning or interpretation between the English language version of these Terms available at https://my.subsub.cc/affiliate/en/terms, and any translation, the English language version will prevail. The original English text shall be the sole legally binding version.

TABLE OF CONTENTS

1. DEFINITIONS OF TERMS USED IN THE TERMS

1.1. For the purposes of these Terms:

1.1.1. Affiliate Program means a program that allows Affiliates to receive the Commission for attracting creators through Referral Links and linking their YouTube channels to SubSub.

1.1.2. Visitor means any individual or legal entity that followed the Referral Link of the Affiliate.

1.1.3. Creator means an individual or legal entity holding the rights in and to the content published on a YouTube channel.

1.1.4. Affiliate (or you) means a registered user of my.subsub.cc who accepts these Terms and invites Creators to link their YouTube channels to SubSub.

1.1.5. Affiliate Link means a unique link received by the Affiliate via the Creator’s account on my.subsub.cc for linking new YouTube channels to SubSub as part of the Affiliate Program.

1.1.6. Potential Referral means a Visitor who first registered on the website my.subsub.cc (ordered an online consultation on the website subsub.cc).

1.1.7. Referral means the Potential Referral whose channel(s) was connected to SubSub and who meets eligibility criteria prescribed in clause 2.3 of the Terms.

1.1.8. Company Revenue means income for the relevant period received by the Company under the respective agreement concluded between the Company and the Referral to connect the Referral’s channel to SubSub.

1.1.9. Commission means remuneration the Affiliate is entitled to receive from the Company for the YouTube channels of Referrals subject to article 3 of the Terms.

1.1.10. Payment Period means a period during which the Affiliate is eligible to receive Commission and is calculated from the first time any of the Referral’s YouTube Channels were connected to SubSub. For the avoidance of doubt, the Payment Period does not reset if one or more Referral’s YouTube channels were disconnected and subsequently re-connected to SubSub.

1.2. All other terms in this Agreement are used as defined in the Terms of Service.

2. SUBJECT MATTER

2.1. The Affiliate shall invite Creators to connect their YouTube channels to SubSub by providing an Affiliate Link.

2.2. If several Affiliates refer to the same Creator, such Creator becomes the Potential Referral of the Affiliate via whose Affiliate Link he/she first registered on my.subsub.cc. Each Potential Referral and/or Referral may be the Potential Referral and/or Referral of only one Affiliate. For the avoidance of doubt, if the Creator was previously registered on my.subsub.cc, he/she cannot become the Potential Referral of any Affiliate.

2.3. The Potential Referral is subject to the below eligibility criteria to qualify as the Referral of the respective Affiliate:

2.3.1. The Potential Referral registered on my.subsub.cc within 1 (one) month from the moment of clicking on the Affiliate's Link.

2.3.2. The Potential Referral connected its YouTube channel (entered into the agreement to connect) to SubSub within 1 (one) year from the date of registration on my.subsub.cc.

2.3.3. The Potential Referral’s YouTube channel complies with YouTube Terms of Use.

2.3.4. The Potential Referral’s YouTube channel is not and has never been connected to SubSub before.

2.4. For the avoidance of doubt, the Affiliate cannot receive Commission for the Referral’s YouTube channels that were connected to SubSub, but the eligibility criteria of clause 2.3. above are not met.

2.5. SubSub decides at its discretion whether to connect the YouTube channel to its network.

2.6. SubSub does not connect and/or accept as the Potential Referral YouTube channel(s) whose beneficial owner is a government, individual, or entity that is or is owned or controlled by a person holding the Russian Federation or the Republic of Belarus citizenship or entity incorporated or existing under the laws of the Russian Federation or the Republic of Belarus.

2.7. The Affiliate that provides promotional services to the Company and receives monetary compensation for such services is not eligible to participate in the Affiliate Program.

3. FEES AND PAYMENT TERMS

3.1. The Company pays Commission to the Affiliate for each YouTube channel of engaged Referrals. The Commission may be a fixed or a percentage of the Company's Revenue for the billing period. Some Affiliates may be eligible for a combined Commission model that includes both fixed and revenue-based Commission. The Affiliate’s specific terms will be specified in their personal account on the website my.subsub.cc.

3.2. The Company adds the Commission to the Affiliate’s Account balance, after which the Affiliate can request payment of the Commission in their Account.

3.3. For the Affiliates receiving a revenue-based Commission, the following terms applies:

3.3.1. The amount of Commission (the share of the Company’s Revenue for the billing period), and the Payment Period are determined by the Company and displayed in the Affiliate’s personal account on the website my.subsub.cc. The Commission percentage may be adjusted upon mutual agreement of the Parties.

3.3.2. The billing period lasts for 1 (one) calendar month, during which the Company received its Revenue from each Referral's YouTube channel(s).

3.3.3. The Company credits the Commission to the Affiliate’s Account balance within 30 (thirty) calendar days of the month following the billing period.

3.3.4. The Commission cannot be paid earlier before the Company actually receives the YouTube Revenue into its bank account.

3.3.5. If any or all of the Referral’s YouTube channels are disconnected from SubSub during the Payment Period, the Affiliate will not receive Commission for the period during which the channels were disconnected. However, if the disconnected YouTube channels are reconnected to SubSub within the same Payment Period through the Affiliate Link or other actions of the Affiliate that were communicated to the Company, the Affiliate will receive the Commission accrued from the moment of reconnection until the end of the Payment Period.

3.4. For the Affiliates receiving a fixed Commission, the following terms applies:

3.4.1. The amount of Commission is determined by the Company and displayed in the Affiliate’s personal account on the website my.subsub.cc. The Commission amount may be adjusted upon mutual agreement of the Parties.

3.4.2. The Company credits the Commission to the Affiliate’s Account balance immediately upon the connection of the Referral’s YouTube Channel to SubSub.

3.5. All costs related to the bank transfer (bank fees for transfer, conversion, etc.), as well as costs incurred by the Company as a result of the transfer using electronic payment systems, fees, taxes are deducted from the Affiliate's Commission.

4. REPRESENTATIONS AND WARRANTIES

4.1. The Affiliate provides the following warranties and representations:

4.1.1. It will not use any means to send bulk unsolicited email or messages ("spam") to attract Creators.
When performing email marketing of any kind relating in any way to Affiliate's participation in the Referral ProgramAffiliate Program, the Affiliate represents and warrants that it shall transmit emails only to those recipients that have given the Affiliate affirmative consent to receive email advertising from the Affiliate and have not revoked such consent as of the date the email was transmitted to such recipient.

4.1.2. It will not use the following traffic sources to attract Creators:

  • Extensions, toolbars, browser helper objects;
  • Cookie stuffing, fraud, spamming, cybersquatting, typosquatting, cloaking, doorway, and other blackhat tactics;
  • Incentivized traffic;
  • Coupon traffic;
  • Adult traffic (both mainstream and adult);
  • Push-notifications in page push to people who have not given their consent to receiving;
  • Brand paid search campaigns containing “SubSub” keywords;

4.1.3. These Terms do not authorize the Affiliate to act on behalf of the Company and/or sign documents on behalf of the Company.

4.1.4. The Affiliate warrants that under no circumstances will represent himself as an employee, manager, consultant, representative of the Company and/or affiliated persons of the Company, or perform any other actions that can be interpreted as belonging to employees, managers, consultants of the Company and/or affiliated third parties of the Company.

4.1.5. The Affiliate guarantees that its actions aimed at attracting Potential Referrals, as well as the information disseminated by it, will not be misleading in relation to the Company, the Company's services, the terms of the Company's services, SubSub, and will not violate or breach these Terms and/or any applicable laws.

4.1.6. Each Party guarantees that it will not take any action that would harm the good will of the other Party.

4.1.7. The Affiliate guarantees that he will not and will not attempt to connect his own channels as the Referral’s channels.

5. VALIDITY OF THE TERMS AND TERMINATION OF THE AFFILIATE PROGRAM

5.1. These Terms become effective upon your acceptance hereof in the Account and remain in force until the Parties perform their obligations hereunder in full.

5.2. Either Party is entitled to terminate the cooperation at any time with or without cause upon 24 (twenty-four) hours’ written notice.

5.3. Without prejudice to para 5.2. above, SubSub is entitled to terminate the cooperation without payment of the Commission if the Affiliate violates these Terms with or without notice to the Affiliate via the Account and/or the email.
